Terms of Service

These Terms of Service (the “Terms”) form a legally binding contract between you and Chippie LLC, a Wyoming limited liability company doing business as GCFlow (“GCFlow,” “we,” “us,” or “our”). Please read them carefully. Section 14 contains a binding arbitration clause and a class-action waiver that affect how disputes between us are resolved.

1. Acceptance of these Terms

By creating an account, accessing, or using GCFlow (the “Service”), you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, you must not use the Service.

You must be at least 18 years old and able to form a binding contract to use GCFlow. The Service is not directed to children under 13, and we do not knowingly collect personal information from them.

2. The Service

GCFlow is a cloud-based construction management platform for general contractors. It includes tools for project management, vendor and subcontractor tracking, compliance document storage, job costing, change orders, pay applications, invoicing, drawings, daily logs, and related workflows.

Not legal, accounting, or tax advice. GCFlow provides tools that help you organize information; it does not provide legal, financial, accounting, tax, or regulatory advice. Lien waivers, pay applications, retainage calculations, sales-tax treatment, compliance certifications, insurance verifications, and similar outputs produced through the Service are based entirely on data you enter. You are solely responsible for the accuracy, legality, and enforceability of those outputs and for ensuring they comply with applicable law in your jurisdiction. We strongly recommend you consult licensed professionals before relying on any Service output for legal, financial, or regulatory purposes.

3. Your Account

You must provide accurate, current, and complete information when registering. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must notify us immediately at support@gcflow.co if you suspect unauthorized access. We strongly recommend enabling two-factor authentication.

An individual or legal entity may not maintain more than one active free trial. Accounts created to circumvent this limit may be suspended or terminated.

4. Subscriptions, Trials & Billing

GCFlow offers monthly and annual subscription plans. Current pricing, features, and usage limits are available at gcflow.co/pricing. All fees are stated in U.S. dollars and are exclusive of any applicable taxes, which are your responsibility.

Free trial. New accounts may receive a free trial for a defined period (currently 7 days). During the trial you may have access to features that are not available on the free tier. At the end of the trial, you must either subscribe to a paid plan to continue using write features or remain on the free tier with reduced access.

Automatic renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current price unless you cancel before renewal. You authorize us, through our payment processor Stripe, to charge your payment method on file at each renewal.

Plan changes. If you upgrade mid-cycle, Stripe will prorate the difference and charge it on your next invoice. If you downgrade mid-cycle, the change takes effect at the next renewal; we do not issue prorated refunds for downgrades.

Payment failures. If a charge fails, we (via Stripe) will retry per Stripe's standard retry schedule and may email you. If retries continue to fail, your subscription may be downgraded or cancelled and access to paid features will be suspended until payment is resolved. Your underlying data will not be deleted during a suspension.

5. Refunds & Cancellation

Cancellation. You may cancel your subscription at any time from /dashboard/billing or via Stripe's Customer Portal. Cancellation takes effect at the end of your current billing period; you retain access until that date.

Refunds. Except as required by law, all fees are non-refundable. We may, at our sole discretion, issue partial refunds in cases of extended Service outages caused by us, demonstrable billing error, or other circumstances we determine warrant a refund. To request a refund, email support@gcflow.co within 30 days of the disputed charge.

6. Your Content and Data

You own your Content. Files, documents, project information, vendor records, drawings, and any other data you upload to or generate within the Service (collectively, “Customer Content”) remain your property. We do not claim ownership of Customer Content.

License to us. You grant GCFlow a worldwide, non-exclusive, royalty-free license to host, copy, transmit, store, display, and otherwise process Customer Content solely as necessary to provide, secure, support, and improve the Service. This license terminates when you delete the Content or close your account, subject to our standard backup retention.

Export. You can export your data at any time through built-in export features or by contacting support. We will provide reasonable assistance for a single full export upon account closure at no charge.

Aggregated insights. We may use anonymized, aggregated data derived from the Service (in a way that does not identify you, your users, or your customers) to operate, secure, analyze, and improve the Service. We will never sell Customer Content.

7. Acceptable Use

You agree not to, and not to allow any third party to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose;
  • Upload content you do not own or have permission to upload;
  • Upload malware, viruses, or other harmful code;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Reverse engineer, decompile, scrape, or otherwise extract source code or non-public APIs from the Service except as expressly permitted by applicable law;
  • Resell, sublicense, or commercially distribute access to the Service to third parties without our written consent;
  • Use the Service to send unsolicited communications (spam) or to harass others;
  • Bypass plan limits or rate limits through technical means or multiple accounts;
  • Use the Service to process special-category personal data (e.g., health, biometric, or government-ID information) without first executing a separate written agreement with us;
  • Use the Service in any way that could damage, disable, overburden, or impair it.

We may suspend or terminate accounts that violate these provisions and report serious violations to law enforcement.

8. Intellectual Property

GCFlow, the GCFlow name, logo, software, designs, and all underlying intellectual property are and remain the property of Chippie LLC and its licensors. Except for the limited right to use the Service granted by these Terms, no rights are transferred to you. Feedback you provide may be used by us without compensation or attribution.

DMCA / Copyright complaints. If you believe content on the Service infringes your copyright, send a written notice to legal@gcflow.co that includes: (a) identification of the copyrighted work, (b) identification of the allegedly infringing material with enough detail to locate it, (c) your contact information, (d) a statement that you have a good-faith belief that the use is not authorized, (e) a statement under penalty of perjury that the information is accurate and that you are authorized to act, and (f) your physical or electronic signature.

9. Third-Party Services

The Service integrates with third-party providers including Stripe (payment processing), Amazon Web Services (S3 file storage, SES email delivery, EC2 compute, CloudFront content delivery), Neon (managed PostgreSQL database), and optional integrations you may enable (e.g., QuickBooks). Your use of these third-party services is governed by their own terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

If you connect an optional integration (such as QuickBooks), you authorize GCFlow to access, store, and use data from that integration as necessary to provide the integration features.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, GCFlow disclaims all warranties, express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.

We do not currently offer a written service-level agreement (SLA). We aim for high availability but do not guarantee any particular uptime percentage. Planned maintenance will be announced in advance when reasonably practicable.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will GCFlow (Chippie LLC), its affiliates, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.

In no event will our total cumulative liability arising out of or relating to these Terms or the Service exceed the greater of (a) the amount you paid us in the twelve (12) months immediately preceding the event giving rise to liability or (b) one hundred U.S. dollars (us $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. To the extent any liability cannot be excluded or limited, GCFlow's liability is limited to the smallest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless GCFlow (Chippie LLC), its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) Customer Content you submit, (c) your violation of these Terms, (d) your violation of any third-party right, including any intellectual property, publicity, or privacy right, or (e) any document, lien waiver, invoice, or other instrument generated using the Service.

13. Suspension and Termination

By you. You may close your account at any time by contacting support@gcflow.co.

By us. We may suspend or terminate your access to the Service, immediately and without notice, if: (a) you breach these Terms, (b) we are required to do so by law, (c) your account is involved in fraud or security incidents, (d) your account remains unpaid for more than 30 days, or (e) we cease offering the Service. For non-material breaches we will try to give reasonable notice and a cure period.

Effect of termination. Upon termination, your right to access the Service ends. We will retain Customer Content for thirty (30) days after termination to allow export, after which it will be deleted from active systems. Encrypted backups may persist for up to ninety (90) days before being overwritten. Provisions that by their nature should survive termination (including Sections 6, 8, 10, 11, 12, 14, and 16) will survive.

14. Governing Law and Dispute Resolution

Governing law. These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before filing any claim, you agree to try to resolve the dispute informally by emailing legal@gcflow.co with a description of the claim and proposed resolution. We will try to resolve the dispute within 60 days of receipt.

Binding arbitration. If informal resolution fails, you and GCFlow agree to resolve any dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, if you are an individual consumer, its Consumer Arbitration Rules. The arbitration will be conducted in English in Sheridan, Wyoming, or remotely by agreement. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. You and GCFlow each waive any right to bring or participate in a class action, collective action, mass action, or representative proceeding. Disputes must be brought in your individual capacity only.

Exceptions. Either party may bring a claim in small-claims court if the claim qualifies, and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent unauthorized access to the Service.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email to the address associated with your account and/or by a notice in the Service, at least 30 days before the change takes effect (or sooner if the change addresses a legal or security requirement). Continued use of the Service after the effective date of changes constitutes your acceptance.

16. General Provisions

Entire agreement. These Terms, together with the Privacy Policy and any order forms or written agreements you sign with us, are the entire agreement between you and GCFlow concerning the Service.

Severability. If any provision is held unenforceable, the rest of these Terms remain in effect, and the unenforceable provision will be interpreted to come as close as possible to the original intent.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government action, internet or utility outages, or third-party service failures.

Notices. We may give notices via email or in-product messaging. Notices to us must be sent to legal@gcflow.co and to Chippie LLC, 30 North Gould Street, Sheridan, WY 82801, USA.

U.S. Government end users. The Service is “commercial computer software” under FAR 12.212 and DFARS 227.7202; use by U.S. Government end users is subject only to the rights granted by these Terms.

Export controls. You may not use or export the Service in violation of U.S. export laws and regulations or any other applicable law.
